Terms of Service

1. Service Description

Apex Research ("the Service") is an AI-powered research management platform that coordinates autonomous AI agents to assist with experiment design, execution, data analysis, and manuscript preparation. The Service is operated by Apex Research, Inc. ("we", "us", "our").

The Service integrates with user-provided compute servers, third-party AI model providers, and collaboration tools to deliver an end-to-end research workflow. AI agents operate under human supervision, with all critical decisions requiring user approval.

2. Account Terms

Registration. You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

Security. You must notify us immediately of any unauthorized access to your account. We recommend enabling multi-factor authentication (MFA) for all accounts.

Termination. You may close your account at any time. We reserve the right to suspend or terminate accounts that violate these terms. Upon termination, your research data will be available for export for 30 days, after which it may be permanently deleted.

3. Subscription & Billing

Plans. The Service offers multiple subscription tiers (Starter, Professional, Team). Plan details, including features and pricing, are available on our pricing page.

Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled. You will be notified at least 7 days before renewal.

Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing cycle.

Payment Processing. Payments are processed through Stripe. We do not store your full payment card details on our servers.

4. Intellectual Property

Your Research. You retain full ownership of all research outputs, experimental data, manuscripts, and other content you create or generate using the Service. We do not claim any intellectual property rights over your research output.

Platform IP. The Service, including its software, algorithms, and documentation, is owned by Apex Research, Inc. and protected by applicable intellectual property laws.

Feedback. If you provide feedback or suggestions about the Service, we may use them without obligation to you.

5. AI Usage Disclaimer

The Service uses AI models to assist with research tasks. AI outputs, including experimental suggestions, data analyses, and draft text, are provided as-is and do not constitute professional, scientific, or legal advice.

Verification Required. You are solely responsible for reviewing, verifying, and validating all AI-generated outputs before relying on them. AI systems may produce incorrect, biased, or incomplete results.

Attribution. If you use AI-generated content in publications, you are responsible for complying with the disclosure requirements of the relevant venue or publisher. See our AI Attribution Guide for templates and venue-specific guidance.

6. User Server Responsibility

The Service connects to compute servers that you provide and configure. You are solely responsible for the security, availability, and proper configuration of your servers. We are not liable for any data loss, security breaches, or downtime arising from issues with your compute infrastructure.

You must ensure that your servers comply with all applicable laws and regulations, including data protection and export control requirements.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided "as is" without warranty of any kind. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, research results, or profits.

Our total cumulative liability to you for all claims arising from or related to the Service shall not exceed the amounts you have paid to us in the 12 months preceding the claim.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
